What is Partnership Firm ?

A Partnership is a business structure in which two or more individuals manage and operate a business in accordance with the terms and goals set out in the Partnership Deed. Partnership registration is relatively easy and is prevalent among small and medium sized businesses in the unorganized sectors. For Partnership Registration, you must agree on a firm name and then establish a partnership deed. It is a document stating respective rights and obligations of the partners and to be valid it should be written and not oral. The terms of the Partnership Deed can be varied to suit the interests of the partners and can even be made contrary to the Indian Partnership Act, 1932 but if the Partnership Deed is silent on any point, then the provisions of the Act would apply.

Partnership firm has separate PAN which is in the name of Partnership Firm, Even Unlike Companies, a firm is not a separate legal entity. It has no legal identity separate from its partners.

Every person who is of the age of majority according to the law to which he is subject and who is of sound mind and is not disqualified from contracting by any law to which he is subject can enter into a partnership. Individual: An individual, who is competent to contract, can become a partner in the partnership firm
The formation of a Partnership Firm in India can take up to 2-3 weeks However, the time taken to form partnership firm registration may vary as per the regulations of the concerned state. The registration of a Partnership Firm is subject to government processing time which varies for each State.
Every partner is jointly liable with all the other partners and also individually, for all acts/activities of the firm, during the course of business while he/she is a partner. This means that if a loss or injury is caused to any third party or a penalty is levied during the course of business all partners will be held liable even if the injury or loss was caused by one of the partners.
A partnership deed is created on a judicial stamp paper obtained from the respective State Registrar Office. The partnership deed must be created by all the partners on a stamp paper in accordance with the Indian Stamp Act. It has to be signed by all the partners and each partner should have a copy of the partnership deed.
The stamp duty charges differ from state to state, the partnership deed has to be notarised on a non-judicial stamp paper with a minimum value of Rs.200 or more.
